All content, materials, code, designs, software, and other intellectual property available through our Services, including but not limited to our website, documentation, and proprietary methodologies, are the exclusive property of Tyrvos Infrastructure Corp. or our licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purpose only. You may not reproduce, modify, distribute, transmit, display, perform, or otherwise use any intellectual property without prior written consent from Tyrvos Infrastructure Corp.
Any custom deliverables, reports, or analyses prepared specifically for you remain the property of Tyrvos Infrastructure Corp. unless otherwise specified in a written agreement.

AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.
IN NO EVENT SHALL THE TOTAL LIABILITY OF TYRVOS INFRASTRUCTURE CORP. FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR $500 CAD, WHICHEVER IS GREATER.
OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TYRVOS INFRASTRUCTURE CORP. MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR FREEDOM FROM DEFECTS.
We do not guarantee that our Services will be uninterrupted, secure, error-free, or free from viruses or harmful components. While we strive to provide reliable infrastructure services, we cannot guarantee 100% uptime or prevent all security breaches.
You agree to indemnify, defend, and hold harmless Tyrvos Infrastructure Corp., its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to:
If you engage Tyrvos Infrastructure Corp. for paid Services, you agree to provide accurate billing information and authorize us to charge the specified payment method. Billing arrangements, payment terms, and pricing are detailed in individual service agreements or invoices.
Invoices are due within 30 days of issue unless otherwise specified. Late payments may result in suspension of Services and may incur interest charges at the maximum rate allowed by Canadian law.
All fees are exclusive of applicable Harmonized Sales Tax (HST), Goods and Services Tax (GST), or Provincial Sales Tax (PST), which will be added where applicable.
Either party may terminate the use of Services by providing written notice to the other party. Termination of Services does not relieve you of any outstanding payment obligations.
Tyrvos Infrastructure Corp. may suspend or terminate your access to Services immediately, without notice, if we reasonably believe you have violated these Terms or engaged in illegal activity.
Upon termination, your right to use the Services ceases, and we may delete your account and associated data in accordance with applicable law and our data retention policies.
Tyrvos Infrastructure Corp. reserves the right to modify these Terms at any time. Significant changes will be communicated via email or through a prominent notice on our website. Your continued use of the Services following the posting of modified Terms constitutes your acceptance of the changes.

These Terms and all matters arising from or relating to your use of our Services shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.
You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario for any legal proceedings arising from these Terms or your use of the Services.
Prior to initiating legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation. If negotiation fails, either party may initiate mediation or arbitration as a final resolution mechanism before pursuing litigation.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
These Terms, together with our Privacy Policy and any individual service agreements or statements of work, constitute the entire agreement between you and Tyrvos Infrastructure Corp. regarding your use of the Services and supersede all prior agreements, understandings, and communications.
